David Bloch is an associate in our Corporate practice. David is experienced in providing advice to U.S. and overseas companies on mergers and acquisitions, including strategic counseling on structuring and negotiating deals, dealing with government enforcers and litigating challenges to combinations. David also provides general counseling regarding company structure, distribution practices, compliance issues, audit procedures and other day-to-day matters.

Before joining our firm in 2008, David spent 7 years as a corporate associate in the New York office of Akin, Gump, Strauss, Hauer & Feld LLP, a U.S. based international law firm.

Representative Transactions
  • Advised Jackson National Life Insurance Company in connection with its US$305 million sale of Jackson Federal Bank to Union Bank of California, N.A. and the secondary offering of shares of UnionBanCal Corporation, the parent company of Union Bank of California, N.A., received as partial consideration for Jackson Federal Bank.
  • Advised Bank of America Corporation in connection with the post-acquisition corporate restructuring of various subsidiaries following Bank of America Corporation’s acquisition of FleetBoston Financial Corporation.
  • Advised American Express Travel Related Services Company, Inc. in connection with its acquisition of Rosenbluth International, Inc. 
  • Advised Soliloquy Learning in its sale of assets to Scientific Learning, Inc., a publicly traded education technology company.
  • Represented Robert Bosch GmbH in its $200 million acquisition of Detection Systems Inc., a manufacturer of security systems equipment, by tender offer pursuant to a negotiated merger agreement.
  • Advised Giraffe BV in the acquisition of the European printing operations of TSG Holding Corp.
  • Represented Kodo Inc., an affiliate of Dongah Flour Mill Co. of Korea, in an investment in a retail business in New York City.
  • Represented TUV Rheinland North America Holding, Inc. in the acquisition of Non-Destructive Testing Services, Inc.
  • Advised a NY-based advertising agency in selling its direct mail data services division
  • Advised an investor group in acquiring a school of massage therapy centre.
