Frederick Hibbert is a partner in the Corporate and International practices. Fredrick has over 10 years experience of advising U.S. and overseas organizations on a variety of corporate matters, including acquisitions and disposals, securities offerings, joint ventures, partnership and corporate governance.

Before co-founding the firm, Frederick was special counsel in the New York office of a major international law firm.

Representative Transactions
  • Sino Gold Mining Limited in connection with its stock-for-stock acquisition of Gem Stone China Resources Corporation valued at $75 million (including debt assumed).
  • Sino Gold Mining Limited in connection with its US$90 million acquisition of a 72% interest in an exploration license covering a gold deposit in China.
  • Advised Giraffe BV in the acquisition of the European printing operations of TSG Holding Corp.
  • Sintex Industries Ltd. in connection with its $20.5 million acquisition of an 81% interest in Wausaukee Composites, Inc.
  • Advised Chemtura Corporation, a US publicly traded specialty chemicals company, in a joint venture with Al-Zamil Group.
  • Advised Era Aviation Investment Group LLC, on acquiring a 34% stake in Deccan Charters, a leading Indian aviation services company (undisclosed sum), and 27.5% stake in IndiGo, a low cost regional airline (undisclosed sum).
  • Advised Greif Inc. (U.S. publicly traded) in a global joint venture with Dabbagh Group Holding Company.
  • American Express Company in connection with the spin off of Ameriprise Financial, Inc.
  • PeopleSoft, Inc. in connection with Oracle’s unsolicited tender offer for PeopleSoft, Inc.
  • Indigo Singapore Partners, L.P. in connection with its acquisition of a 24% interest in Tiger Airways PTE. LTD.
  • Jackson National Life Insurance Company in connection with its $305 million sale of Jackson Federal Bank to Union Bank of California, N.A. and the secondary offering of shares of UnionBanCal Corporation, the parent company of Union Bank of California, N.A., received as partial consideration for Jackson Federal Bank.
  • Bank of America Corporation in connection with the post-acquisition corporate restructuring of various subsidiaries following Bank of America Corporation’s acquisition of FleetBoston Financial Corporation.
  • American Express Travel Related Services Company, Inc. in connection with its acquisition of Rosenbluth International, Inc. for an undisclosed amount.
  • Goldman Sachs in connection with its investment in two private Indian investment funds totaling $50 million.
