Richard Tillman heads our Corporate, Securities and International practices. Richard has over 25 years’ experience as a U.S. securities and mergers and acquisitions lawyer, and has worked on transactions in more than 20 countries across six continents. Richard advises companies, financial institutions and investment banks on international capital markets deals and cross-border mergers and acquisitions transactions. Richard is a leading international legal counsel on capital markets transactions in India and has worked on over 80 capital markets transactions in India since 1990.

Before co-founding the firm, Richard was a partner in the New York, London and Hong Kong offices at major international law firms.

Representative Transactions

Mergers and Acquisitions

  • Advised Mecalux S.A., a Spanish publicly traded rack manufacturer, in the acquisition of the US and Mexican assets of UFC Interlake Holding.
  • Advised Behringer Harvard, a large US publicly traded REIT, in its acquisition of IPC US REIT, a Canadian publicly traded REIT
  • Advised a large hedge fund in its investment in a privately held REIT-based joint venture (valued at approximately $53 million).
  • Advised a group of industrial investors in relation to structuring and financing a petrochemical derivatives complex in Yanbu, Saudi Arabia.
  • Advised National Petrochemical Industrialization Company (Tasnee Petrochemicals) in relation to a joint venture with Basell to establish a $500 million propylene-polypropylene petrochemical plant in Saudi Arabia.
  • Advised a major Saudi group in connection with a joint venture with a major U.A.E. group to establish a chain of supermarkets, including licensing arrangements with a leading European retailer.
  • Advised Al-Saggaf Medical, the largest Saudi Arabian pharmacy chain, in the aborted sale of a contracting interest to a Dubai-based private equity firm.
  • Advised GSE Global Limited on its acquisitions of Energy Storage and Power Corporation.
  • Sale of Auction Finance Group, Inc. and Canadian Auto Auction Group to ADESA Corporation.
  • Advised Radyna Corp. On its acquisition of ComStream Holdings, Inc.
  • Acquisition of Engineering and Technical Services, Inc. by Singapore Technologies Pte Ltd.
  • Domestication of W.P. Stewart & Co., Ltd. from Bermuda to Delaware.

Matters in Europe

  • Advised on the London Stock Exchange listing of international companies: Tupras, Isbank, Bank of Cyprus, The Indian Hotels Group, The Associated Cement Companies of India Limited and Axis Bank.
  • Advised on the London Stock Exchange listings of the Russian companies Sistema, Novatek, Integra and Comstar.
  • Advised Alliance Oil Company Limited on its $350 million 9.875% global bond issuance, listed on the London Stock Exchange.
  • Advised on the London Stock Exchange listings of U.K. companies: Dev Property Development plc Hemscott.net and Zen Research PLC.

  • Examples of Indian offerings on which Richard has worked, include Bharti Televentures, Power Finance Corporation, Patni Computer Systems, Ishaan Real Estate, Sobha Developers, Mahindra Gesco, Motilal Oswal, Marico, Advanta India, Air Deccan, IDFC, Patel Engineering, Jagran Prakashan (Danik Jagran), HT Media (Hindustan Times), Central Bank of India and Yes Bank.

Investor Representation

  • Representing a sovereign wealth fund investing in Barclays Bank plc.
  • Representing U.S. hedge funds on investments in hybrid capital securities issued by RBS, Standard Chartered Bank and Lloyds Bank.
  • Representing Institutional Investors in private exchanges of U.K. bank hybrid capital securities and a $2 billion hybrid capital new issuance.
